Terms of Service
Dwella ("Dwella," "the Platform") is a digital property and facility management software owned and operated by Straanovation LLC, a United States–registered limited liability company based in the State of Wyoming ("Straanovation," "we," "us," or "our").
By accessing, browsing, or using Dwella, you ("you," "your," or "User") agree to be bound by these Terms of Service ("Terms"). If you do not agree with these Terms, you may not access or use Dwella.
1. Overview
Dwella is a web-based software platform developed by Straanovation LLC to help lessors (landlords/property managers) manage tenants, automate communication, and streamline property operations. Lessees (tenants) may use the platform for rent tracking, uploading payment receipts, and submitting maintenance requests.
Dwella acts solely as a software service provider. Straanovation LLC and Dwella do not operate as real estate brokers, agents, financial intermediaries, or escrow institutions.
2. Account Registration and Security
- You must be at least 18 years old to create or manage a Dwella account.
- You agree to provide accurate, complete, and current information during registration and to update it promptly if it changes.
- You are fully responsible for maintaining the confidentiality of your login credentials and all activities under your account.
- You must immediately notify us of any unauthorized access or suspected security breach.
- Straanovation LLC shall not be liable for losses resulting from your failure to secure your account.
3. Subscription, Billing, and Payment
- Certain Dwella features require a paid subscription. Payments are securely processed through Stripe, Inc. for global transactions and Paystack for African-region transactions.
- By subscribing, you authorize Straanovation LLC to charge your payment method according to the plan, billing cycle, and renewal terms selected at the time of purchase. Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your plan).
- All fees are non-refundable, except where required by law.
- Straanovation LLC reserves the right to modify subscription tiers, prices, or features with at least 14 days' prior notice. Continued use after such notice constitutes acceptance of the new terms.
- Failure to complete payment may result in temporary suspension or permanent termination of your account.
- You may cancel your subscription at any time, and access will continue until the end of the current billing period. No refunds are provided for partial billing periods unless required by law.
3.1 Pricing & Currency
Prices displayed are base subscription prices and may vary by region, currency, and payment method. Local currency amounts are shown at checkout and may differ due to regional pricing, exchange rates, or payment provider policies.
3.2 Taxes
Prices listed exclude applicable taxes unless otherwise stated. Any required taxes, including sales tax or VAT, will be calculated and added at checkout based on your location.
3.3 Plan Limits
Each subscription plan includes usage limits based on properties and total tenants. Exceeding these limits may restrict certain features or require a plan upgrade. Limits are applied at the account level, not per property.
3.1 Soft Limits Policy
When you downgrade your subscription plan or cancel your subscription, Dwella applies "soft limits" to protect your data while enforcing plan restrictions. Here's what happens:
- Properties exceeding limits: Properties beyond your new plan limit will be archived (not deleted). Archived properties remain in your account but cannot be actively managed until you upgrade or manually remove other properties.
- Tenants exceeding limits: Tenants beyond your new plan limit will be marked as inactive. Inactive tenants cannot access the tenant portal or receive automated notifications, but their historical data remains intact.
- Staff members exceeding limits: Staff members beyond your new plan limit will be temporarily deactivated. They cannot access the platform until you upgrade or remove other staff members.
- Data retention: All data remains in your account during soft limits. No information is deleted due to downgrades or cancellations. You can restore access by upgrading your subscription.
- Reactivation: When you upgrade to a higher-tier plan, you can reactivate archived properties, inactive tenants, and deactivated staff members within the new plan limits.
By using Dwella, you acknowledge and accept that downgrading or canceling your subscription will result in soft limits being applied to your account according to your new plan tier.
4. Acceptable Use Policy
You agree not to use Dwella in any way that:
- Violates any law, regulation, or third-party right;
- Attempts to gain unauthorized access to systems, data, or accounts;
- Involves distribution of spam, malware, or harmful code;
- Copies, modifies, reverse engineers, sells, or exploits the Platform or its code;
- Engages in harassment, abuse, or defamation of other users or Straanovation personnel.
Straanovation LLC reserves the right to investigate, suspend, or permanently terminate any account found in violation of these rules.
5. Intellectual Property
- Dwella, its logo, trademarks, software, user interface, and all associated technologies are the exclusive intellectual property of Straanovation LLC.
- The name Dwella™ is a registered property of Straanovation LLC and may not be used, reproduced, or imitated without express written consent.
- Users retain ownership of data they upload but grant Straanovation LLC a limited, non-exclusive, royalty-free license to store, process, and use such data solely for platform functionality and improvement.
- You agree not to claim, copy, or reuse Dwella's codebase, interface design, or proprietary workflows for competing products.
6. Termination and Suspension
- You may terminate your Dwella account at any time using in-app controls or by contacting support.
- Straanovation LLC reserves the right to limit, suspend, or terminate access to any user who:
- Violates these Terms;
- Engages in fraudulent or malicious activity; or
- Causes harm to Dwella's system or reputation.
- Upon termination, your right to use Dwella immediately ceases, and all unpaid fees become due.
- Straanovation LLC may retain anonymized usage data for analytics and legal compliance.
7. Disclaimers and Limitation of Liability
- Dwella is provided "as is" and "as available," without warranty of any kind, express or implied.
- Straanovation LLC does not warrant that Dwella will be uninterrupted, secure, or free of errors.
- We are not responsible for losses arising from:
- Service interruptions or data corruption;
- User errors, third-party actions, or integration failures (including Stripe or Paystack);
- Loss of profits, revenue, data, or goodwill.
- To the maximum extent permitted by law, Straanovation LLC's total liability shall not exceed the amount paid by you to Dwella within the 12 months preceding the claim.
7.1 No Professional Advice
Dwella provides software tools for property management purposes only. We do not provide legal, financial, accounting, or real estate advice. Users are responsible for ensuring compliance with applicable laws and regulations.
7.2 Feature Availability
Features and functionality may vary by plan and are subject to change as Dwella evolves. We may add, modify, or remove features to improve performance, security, or user experience.
7.3 Service Availability
While we strive to provide reliable service, Dwella does not guarantee uninterrupted or error-free operation. Scheduled maintenance or unforeseen issues may occasionally result in temporary service disruptions.
7.4 Data Accuracy
Dwella relies on information provided by users. We are not responsible for errors, inaccuracies, or omissions in data entered into the platform.
7.5 Third-Party Services
Dwella integrates with third-party services for payments, notifications, and other functionality. We are not responsible for disruptions, errors, or losses caused by third-party providers.
8. Indemnification
You agree to indemnify, defend, and hold harmless Straanovation LLC, its subsidiaries, officers, employees, and affiliates from any claims, damages, liabilities, or expenses (including legal fees) arising from:
- Your misuse of Dwella,
- Your violation of these Terms, or
- Your infringement of any third-party rights.
9. Data Privacy and Security
Your use of Dwella is governed by our Privacy Policy, which explains how we collect, process, and safeguard personal data. While Straanovation LLC takes reasonable measures to protect data integrity, you acknowledge that no platform can guarantee absolute security.
10. Governing Law and Dispute Resolution
- These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.
- Any dispute or claim arising out of or relating to Dwella shall be exclusively resolved in the state or federal courts located in Wyoming, USA.
- Users in other countries agree that U.S. law governs their relationship with Straanovation LLC and that any dispute shall be brought before a U.S. jurisdiction.
11. Modifications to These Terms
Straanovation LLC may update these Terms at any time to reflect legal, operational, or regulatory changes. The most current version will always be posted on our official website with a revised "Last Updated" date. Continued use after publication of updates constitutes acceptance.
12. Ownership Disclosure
Dwella is a registered property of Straanovation LLC, a United States–registered limited liability company headquartered in Wyoming. All intellectual property, system infrastructure, and brand assets associated with Dwella are owned and controlled by Straanovation LLC.
Unauthorized reproduction, imitation, or distribution of Dwella's brand, design, or underlying code is strictly prohibited and may result in legal action.
